Acquisition financing: Fried Frank is recognized worldwide as a leader in leveraged buyout and acquisition financing, representing borrowers and issuers in all types of acquisition financings for more than three decades, providing "one-stop shopping" services by facilitating the structuring and negotiation of senior credit facilities and high-yield and rule 144A offerings, as well as mezzanine financing. We also represent clients desiring access to the syndicated loan markets and to other financing sources negotiating and closing their acquisition and working capital facilities.

High-yield and syndicated bank financing: We represent commercial and investment banks and other financial institutions as lenders and lead arrangers in structuring and negotiating leveraged transactions, including senior secured credit facilities for sponsored acquisitions and other leveraged buyouts, recapitalizations and spin-offs and senior syndicated loans to large corporate and middle-market borrowers. Our practice also acts for sponsors, issuers and companies in connection with both high-yield and syndicated bank facilities.

Direct lending/principal investments: The firm's Direct Lending Practice represents global asset managers and investment funds, including closed end funds that make investments in senior syndicated loans, mezzanine financings and distressed debt, and credit-oriented hedge funds in the full range of direct principal transactions. Debtor-in-possession and distressed company financing: In conjunction with our Restructuring and Insolvency Practice, we represent borrowers, issuers, bondholders and other lenders in financings for financially troubled companies, including debtor-in-possession, chapter 11 exit and out-of-court restructuring financings. We also represent lenders in financings for parties interested in acquiring assets and businesses from chapter 11 debtors and other financially troubled companies.
