Donald Carleen regularly advises clients on all aspects of executive compensation and employee benefits, including ERISA, tax, employment, and securities law matters.

Don has counseled corporations, boards of directors, compensation committees, and senior executives on executive compensation and ERISA matters in connection with complex mergers and acquisitions, leveraged buyouts, and bankruptcies and restructurings. Clients also seek Don’s advice regarding these issues in relation to the structuring and formation of hedge fund, private equity, and other investment partnerships.

Don specializes in the structuring and negotiation of executive employment, severance, and equity participation arrangements in mergers and acquisitions  transactions. Our clients also engage his representation in corporate governance matters and before regulatory agencies, including the Internal Revenue Service, the Department of Labor, and the Pension Benefit Guaranty Corporation.
