Fried Frank represented ProQuest in Atairos' acquisition of an ownership position in the company. ProQuest curates content and builds workflow solutions to help libraries acquire and grow collections for use by research and learning communities. Atairos is an independent, private company focused on supporting growth-oriented businesses across a wide range of industries. ProQuest will use the proceeds from the transaction to repurchase most of the shares owned by entities affiliated with the Merchant Banking Division of Goldman Sachs, which will retain a minority interest in the company. Cambridge Information Group (CIG) will maintain its majority ownership of ProQuest. The transaction is expected to be completed in the coming months.
The Fried Frank team was led by corporate partner Brian T. Mangino and included tax partner Alan S. Kaden, corporate special counsel Bret T. Chrisope, corporate associate Clayton Mark, antitrust and competition associate Neda Moussavi, and tax associate Shane C. Hoffmann.
