Washington, DC tax partner Alan S. Kaden is featured as the "Dealmaker of the Week" by Am Law Daily for his role advising Cargill, Inc. in its proposed split-off and disposition of its 64% stake in The Mosaic Company, an innovative transaction valued at more than US$24b. The article discusses the complexities presented by the deal and the unique structures that Mr. Kaden and his team created. Pursuant to a ruling from the IRS, the transaction is expected to be tax-free to Cargill, Mosaic and their respective shareholders. "The challenge," Mr. Kaden told the Am Law Daily, "was coming up with a transaction that was efficient from everybody's point-of-view--Cargill, and Mosaic, of course, and the charities--that would allow the charities to achieve their goal of meeting their diversification and distribution requirements, but also importantly allow Cargill to remain a private company."
