Fried, Frank, Harris, Shriver & Jacobson LLP is representing BellSouth Corporation in Cingular Wireless’s $41 billion acquisition of AT&T Wireless Services, a deal announced today that would create the nation’s largest cell-phone company.
Cingular is a joint venture of BellSouth and SBC Communications Inc.
The agreement, which came at the end of a hotly contested auction process, is subject to the approval of AT&T Wireless shareholders and regulatory authorities. The transaction is the largest all-cash transaction in U.S. history.
