Alexander R. Sussman
became a partner in 1979 and of counsel in 2009. He concentrates his practice in securities litigation, corporate and commercial trials and appeals, as well as merger and acquisition counseling and litigation. He has represented clients in a wide range of complex matters, including class actions, derivative suits and financing and accounting disputes, as well as in alternative dispute resolution, arbitration and mediation.

Successfully defended the Special Committee of Cox Communications in shareholder litigation challenging the largest buyout ever by a controlling stockholder
Defended securities fraud and ERISA class actions and shareholder derivative suits, which ended in dismissal or settlement, representing various corporations and executives, including CIGNA, Gelco, Humana, Salant, Warnaco and the former President of Freddie Mac
Counseled and litigated successful defenses to takeovers, representing various companies, including Dunkin' Donuts, Gelco, Gearhart, Hobart, InterTan, Landmark Savings, McGill Manufacturing and Potlatch
Represented Burlington Resources and Chevron in their successful responses and litigation against hostile stock accumulations by Pennzoil
Represented numerous financial advisors, including Goldman Sachs, Lazard, Merrill Lynch and Wasserstein Perella in connection with M&A transactions and litigation
Undertook numerous pro bono representations, including on behalf of the Natural Resources Defense Council and the Environmental Defense Fund; the Southern Poverty Law Center (in a Sixth Circuit appeal against the Ku Klux Klan); NYPIRG (New York Public Interest Research Group) (in a trial and Second Circuit appeals concerning student activity fees); and the Legal Aid Society, establishing a damage remedy against harassing landlords
Mr. Sussman is the co-author, with Arthur Fleischer, Jr.,of the two-volume treatise Takeover Defense: Mergers and Acquisitions
(Wolters Kluwer/Aspen Law 2018) and has also published numerous articles on litigation procedure and strategy, and on takeovers, buyouts and fiduciary issues.
Mr. Sussman has been active in the Association of the Bar of the City of New York, where he was the founder and former chair of the Committee on Mergers, Acquisitions and Corporate Control Contests. He has also served as the chair of the Pro Bono and Legal Services Committee and as a member of the Federal Courts and Judiciary Committees. He has served on various committees of the American Bar Association, the New York State Bar Association and the New York County Lawyers' Association. Mr. Sussman has been a member of the American Law Institute and has been on the Board and Executive Committee of the Legal Aid Society of New York.
Following law school, Mr. Sussman clerked for the Honorable Constance Baker Motley, United States District Judge for the Southern District of New York.
