Vivian Y. Ouyang is a special counsel in the Tax Department and is resident in Fried Frank's New York office. She joined the Firm in 2018.
Ms. Ouyang's practice focuses on federal tax issues in a wide range of transactions, including mergers, acquisitions, divestitures, fund formations, joint ventures, financing transactions, partnerships, and cross-border transactions. She has significant experience representing private equity funds in their acquisitions, joint ventures and dispositions, fund sponsors in their fund formations, and public and private companies in their equity and debt financing, tax free reorganizations, spin-offs and taxable mergers and acquisitions. Ms. Ouyang also represents both creditors and distressed companies in workouts, restructuring and bankruptcy, and has experience in capital markets transactions, traditional and structured financial products, and real estate investment trusts.
