Ms. Spell represents clients in a broad range of commercial real estate transactions, including mortgage, mezzanine, construction, and other financing on behalf of borrowers and lenders; joint ventures; the acquisition and disposition of single assets and multi-asset portfolios; commercial leasing transactions on behalf of landlords and tenants; and development projects.
Recent representations include:
- Counsel to Brookfield Asset Management in connection with the financing of its 100% leasehold interest in 666 Fifth Avenue's office condo, a 1.5-million-square-foot building in Midtown Manhattan, through one of its real estate investment funds.
- Counsel to SL Green Realty Corp. in connection with various leases at One Vanderbilt Avenue, the 1,401-foot commercial office tower across from Grand Central Terminal, which is set for completion in 2020.
- Counsel to Google in connection with its US$2.4 billion acquisition of Chelsea Market in New York City, the second largest price ever paid for the purchase of a single building in the US.
- Counsel to AllianceBernstein in connection with its joint venture and US$475 million mezzanine financing, which was part of a total US$1.67 billion private financing for the redevelopment of the American Dream mall at the Meadowlands in New Jersey.
Ms. Spell is a member of the Pro Bono Advisory Council of New York Lawyers for the Public Interest (NYPLI), an organization whose mission is to advance equality and civil rights, with a focus on health justice, disability rights and environmental justice, through the power of community lawyering and partnerships with the private bar.
