Andrew Penman is a special counsel in the Tax Department, resident in Fried Frank's New York office. He initially joined the Firm in 2011 and rejoined the Firm in 2018.
Mr. Penman's practice focuses on federal income taxation, with particular emphasis on partnership taxation and the structuring and formation of private equity and hedge funds, including funds focused on equity, debt, infrastructure and real estate. He has advised both fund sponsors and investors on the preparation and negotiation of fund disclosure, organizational documents, and side letter agreements.
Mr. Penman also has a wide range of experience advising clients on the tax aspects of transactional matters, including the formation of joint ventures, private and public mergers and acquisitions and investments in U.S. real estate, including transactions involving REITs.
Prior to rejoining Fried Frank, Mr. Penman practiced as a tax associate in the Boston and New York offices of another international law firm.
