SEC Seeks Comments on Modernization of Certain Disclosure Rules

On August 8, 2019, the Securities and Exchange Commission (the “SEC”) published for comment proposed rule amendments (the “Proposed Rules”) to modernize the disclosures regarding description of business, legal proceedings and risk factors that registrants are required to make pursuant to Regulation S-K of the General Rules and Regulations promulgated by the SEC (“Regulation S-K”). The Proposed Rules are intended to enhance the quality of disclosure and to simplify compliance efforts for registrants by, among other things, improving the readability of disclosure documents, discouraging repetition and limiting requirements to disclose information that is not material.
