Donald P. Carleen
is an executive compensation & ERISA partner, resident in Fried Frank's New York office. He joined the Firm in 1983 and became partner in 1987.
Mr. Carleen regularly advises corporations, boards of directors, compensation committees and senior executives on all aspects of executive compensation and employee benefits, including ERISA and tax, employment and securities law matters.
He actively participates in the Firm's corporate transactional practice and advises on these matters in complex mergers and acquisitions, leveraged buyouts, and bankruptcy and restructurings, as well as in connection with the structuring and formation of hedge fund, private equity and other investment partnerships. Mr. Carleen specializes in the structuring and negotiation of executive employment, severance and equity participation arrangements in M&A transactions. His practice also includes representing clients on corporate governance matters and before regulatory agencies, including the Internal Revenue Service, the Department of Labor and the Pension Benefit Guaranty Corporation.
